Register on our platform:
We provide you with all the necessary facts and figures to base your investment decision on. Once you're registered on our platform and have created your user account, you'll have access to the Investment Proposal section. Here you will find all the relevant information and documents.
Follow our intuitive investment process and connect your wallet:
Once you decide on an investment, we'll guide you through the investment process. This includes instructions on creating a wallet and what to watch out for during the process. If you already have a wallet, you can easily connect it. You don't need to have funds in your wallet to purchase your shares; instead, it will serve as storage for your digital shares later. You can complete your investment by making a payment using one of the payment methods available.
Become a shareholder and receive your digital shares:
Once the campaign closes successfully, the company will review all shareholders. If you are approved as a shareholder, your shares will be issued and allocated to your wallet. This process can take several weeks to months. Once it is completed, you can proudly call yourself a shareholder of your favorite company!
Note: If the minimum funding threshold isn't reached or in case you are not approved as a shareholder, your money will be refunded within a few days.
Any private individual aged 18 or older with a residence in Switzerland can invest on our platform. Legal entities with their registered office in Switzerland can also invest with us. If you wish to invest on behalf of your company, please contact us via hello@oomnium.com. OOMNIUM accepts persons from other countries only exceptionally in its sole discretion.
For legal reasons, an identification process is required.
Our services are free of charge for investors. You will only be paying the actual share price. The company pays a fee for our services.
Our equity crowdfunding platform provides you with easy access to Swiss companies whose ideas you love and values you share. We enable you to purchase shares in these companies with just a few clicks. We also provide you with all the necessary and important information you need to make an investment decision. You can find an overview of all the companies you can invest in on the "I want to invest" page.
After a successful equity crowdfunding campaign, you become a shareholder and can participate in the company's success. You will receive your digital shares in your wallet.
Due to our obligation to comply with anti-money laundering laws, we are required to verify the identity of all investors. Your personal data and documents are securely stored with us. If you would like to learn more about the security of your data, you can find the details in our privacy policy.
You can sell your shares at any time. To do so, you will need to transfer your shares to the buyer's wallet. The buyer can then pay you in cash, e.g. by bank transfer or TWINT, or directly on the blockchain using a cryptocurrency. Some companies will facilitate the sale/purchase of shares through a marketplace.
The minimum investment ticket is set by the company. For some, you can participate with as little as CHF 100. Companies set a limit on the number of shares a person can purchase. You are free to invest within this range, depending on your personal financial situation and the availability of shares. Please make sure to review our risk warnings.
After registering with us and completing our investment process, you can finalize your investment using various payment methods. There are no payment fees for you.
This is not possible at the moment. You need a smartphone to verify your identity via our partner PXL Vision and to connect your wallet (e.g. the Aktionariat app) to OOMNIUM. Alternatively, you can try using a tablet.
Yes, legal entities based in Switzerland can also invest in companies on our platform. If you want to invest on behalf of your company, please contact us at hello@oomnium.com.
Your rights as a shareholder are governed by the legal provisions of Swiss corporate law and the company's Articles of Association. Additionally, we recommend that each company includes the digital shares in a shareholders' agreement to secure important instruments such as a Drag-Along (mandatory sale) or Tag-Along (sale right). The details are determined by the companies - you can find further information in the campaign terms of each campaign.
Capital gains from shares are generally tax-free in Switzerland for natural persons who do not trade in securities commercially. The held shares are usually subject only to wealth tax and must be declared in the tax form accordingly. The value of your shares will typically be communicated to you annually by the company you have invested in. If the company pays dividends, these should be declared and taxed as wealth income. For specific questions, we recommend consulting a tax advisor to discuss your personal situation.
After investing in companies on our platform, it's time to keep your fingers crossed! Only once the minimum funding goal set by the company has been reached, the campaign will be able to close successfully.
Once the campaign has successfully closed, the capital increase takes place, and the shares are issued and transferred to the wallet address you provided.
In case the minimum funding goal is not reached, we will return your money within 14 days.
As an investor, voting shares give you voting rights at the annual general assembly. Participation certificates, on the other hand, are silent shares where you, as an investor, do not have voting rights. In both cases, you participate in the company's financial success.
The companies on the OOMNIUM platform are free to decide whether they want to offer voting shares or participation certificates.
To create new shares, a written declaration must be made, which is also called "subscription" of shares. When you buy shares through OOMNIUM, you authorize our legal partner, LEXR Law Switzerland AG, to submit this written declaration to the notary on your behalf.
